If you do not agree to them, do not use the service. If you are contracting on behalf of a company, you represent that you have the authority to bind that company.<\/p>\r\n\r\n<h2>1. Service Description<\/h2>\r\n\r\n<p>OmnIA Reply is a SaaS platform that allows you to manage, analyze, and respond to Google Business Profile reviews using artificial intelligence, manage WhatsApp Business conversations, and generate competitor reports and sentiment analysis. It offers optional integration with HubSpot CRM.<\/p>\r\n\r\n<p>The service is provided on a subscription basis and is constantly evolving. We may add, modify, or remove features; if we remove a substantial feature, we will give you reasonable notice.<\/p>\r\n\r\n<h2>2. Accounts, organizations and roles<\/h2>\r\n\r\n<ul>\r\n  <li>Each account belongs to a <strong>organization<\/strong>. The contracted plan, integrations, and usage limits apply to the entire organization, not individual users.<\/li>\r\n  <li>The organization administrator can invite members and assign them roles. They are responsible for the actions these members take.<\/li>\r\n  <li>You are responsible for maintaining the confidentiality of your credentials and notifying us of any unauthorized access.<\/li>\r\n<\/ul>\r\n\r\n<h2>3. Acceptable Use<\/h2>\r\n\r\n<p>You agree to:<\/p>\r\n\r\n<ul>\r\n  <li>Use the service only to manage businesses that you own or that you manage with the express authorization of their owner.<\/li>\r\n  <li>Do not generate false, incentivized or misleading reviews, or fraudulently manipulate opinions.<\/li>\r\n  <li>Do not send unsolicited messages, illegal, deceptive, or abusive content through connected channels.<\/li>\r\n  <li>Do not attempt to access third-party accounts, data, or systems, or reverse engineer the platform.<\/li>\r\n  <li>Do not resell or sublicense access to the platform without written authorization.<\/li>\r\n  <li>Comply with the policies of Google, Meta, and HubSpot that apply to the services you connect.<\/li>\r\n<\/ul>\r\n\r\n<p>We may immediately suspend an account that violates this section, without refund, when the violation compromises our relationship with connected platforms or causes harm to third parties.<\/p>\r\n\r\n<h2>4. Connected third-party services<\/h2>\r\n\r\n<h3>4.1. Google Business Profile<\/h3>\r\n<p>To use the review features, you must authorize access to your listings via OAuth. You remain the owner of those listings and can revoke access at any time, which will discontinue the associated features.<\/p>\r\n\r\n<h3>4.2. WhatsApp Business Platform<\/h3>\r\n\r\n<div class=\"oar-box\">\r\n  <p><strong>Your WhatsApp account is yours.<\/strong> By connecting WhatsApp, the business account (WABA) and phone number are registered in your name and under your ownership. OmniA Reply acts as the technology provider and accesses them only to provide you with the service.<\/p>\r\n<\/div>\r\n\r\n<p>When using WhatsApp&#039;s features, in addition:<\/p>\r\n\r\n<ul>\r\n  <li>You accept the <strong>WhatsApp Business Platform Terms and Conditions<\/strong> and the <strong>Business Messaging Policy<\/strong> of Meta, and you are responsible for fulfilling them.<\/li>\r\n  <li>You are the <strong>data controller<\/strong> of the data of the people you talk to. OmnIA Reply acts as the data controller following your instructions.<\/li>\r\n  <li>You guarantee that you have obtained the <strong>prior consent<\/strong> of each recipient before initiating a conversation, as required by Meta, and retain proof of that consent.<\/li>\r\n  <li>You are responsible for the content of messages sent from your account, including those generated or suggested by artificial intelligence that you approve.<\/li>\r\n  <li>Messaging fees charged by Meta for conversations are billed directly by Meta to your account and are separate from your OmniA Reply subscription.<\/li>\r\n  <li>Meta may suspend or restrict your account for violating its policies. That decision is Meta&#039;s and is beyond our control.<\/li>\r\n<\/ul>\r\n\r\n<h3>4.3. HubSpot<\/h3>\r\n<p>Connecting HubSpot authorizes the synchronization of contacts and tickets according to your defined settings. You can disconnect it at any time.<\/p>\r\n\r\n<h2>5. Content generated by artificial intelligence<\/h2>\r\n\r\n<p>The platform generates draft responses, analyses, and recommendations using artificial intelligence models. These results are <strong>suggestions<\/strong> and may contain errors, inaccuracies, or formulations unsuitable for your context.<\/p>\r\n\r\n<p>You are responsible for reviewing the content before publishing it. If you enable automatic publishing features, you assume this responsibility in advance and agree that the content will be published without prior review.<\/p>\r\n\r\n<h2>6. Plans, free trial and billing<\/h2>\r\n\r\n<ul>\r\n  <li>We offer <strong>14-day free trial<\/strong> with full access. A valid payment method is required to activate it, and no charges are made during that period.<\/li>\r\n  <li>At the end of the trial, the selected plan will be charged automatically unless you cancel beforehand.<\/li>\r\n  <li>Current plans and their prices are published in <a href=\"https:\/\/omniareply.com\/#price\">omniareply.com<\/a>. Prices may vary depending on the currency and jurisdiction.<\/li>\r\n  <li>Billing is recurring and in advance. Payments are processed through Stripe.<\/li>\r\n  <li>Amounts are not refundable for partial periods, except where required by applicable law.<\/li>\r\n  <li>We can change prices by giving you at least 30 days&#039; notice. The change will take effect at your next renewal.<\/li>\r\n  <li>In the event of non-payment, we may suspend access after notifying you and giving you a reasonable period to rectify the situation.<\/li>\r\n<\/ul>\r\n\r\n<h2>7. Cancellation and Termination<\/h2>\r\n\r\n<p>You can cancel your subscription at any time from your dashboard. The cancellation takes effect at the end of the current billing period, and you retain access until that date.<\/p>\r\n\r\n<p>We may terminate the service if you seriously or repeatedly breach these terms, or if we stop providing the service, in which case we will give you at least 30 days&#039; notice and refund the unused portion.<\/p>\r\n\r\n<p>After termination, your data is deleted in accordance with the <a href=\"https:\/\/omniareply.com\/eliminacion-de-datos\/\">data deletion policy<\/a>. You can request an export before cancelling.<\/p>\r\n\r\n<h2>8. Intellectual Property<\/h2>\r\n\r\n<p>OmniA Reply, including its code, design, branding, documentation, and published studies and content, are the property of <strong>OMNIA REPLY SAS<\/strong>. You may not copy, modify, distribute or create derivative works without written authorization.<\/p>\r\n\r\n<p>The data you upload or that is synced from your connected accounts remains yours. You grant us a limited, non-exclusive, and revocable license to process it for the sole purpose of providing you with the service.<\/p>\r\n\r\n<h2>9. Availability<\/h2>\r\n\r\n<p>We work to maintain continuous service availability, but we cannot guarantee uninterrupted service. Interruptions may occur due to maintenance, technical issues, or failures of third-party services we rely on.<\/p>\r\n\r\n<h2>10. Limitation of liability<\/h2>\r\n\r\n<p>The service is provided <strong>\"&quot;exactly&quot;\"<\/strong>, without any express or implied warranties beyond those mandatory by law.<\/p>\r\n\r\n<p>OmniA Reply is not liable for indirect, incidental, or consequential damages, including lost profits, loss of customers, data, or reputational damage. In any event, our total aggregate liability is limited to the amount actually paid by you in the <strong>12 months<\/strong> prior to the event that originates it.<\/p>\r\n\r\n<p>We are not responsible for decisions made by Google, Meta, or HubSpot regarding your accounts, nor for interruptions or changes to their APIs.<\/p>\r\n\r\n<h2>11. Compensation<\/h2>\r\n\r\n<p>You will indemnify us against third-party claims arising from the content you post or submit through the platform, your breach of these terms, or the policies of connected platforms.<\/p>\r\n\r\n<h2>12. Modifications<\/h2>\r\n\r\n<p>We may modify these terms. We will notify you by email at least 15 days in advance of any substantial changes. Your continued use of the service after the changes take effect constitutes your acceptance of them.<\/p>\r\n\r\n<h2>13. Applicable law and jurisdiction<\/h2>\r\n\r\n<p>These terms are governed by the laws of the Republic of Colombia. Any dispute will be submitted to the competent courts of Bogot\u00e1, Colombia, unless consumer protection regulations in your country of residence provide for a different mandatory jurisdiction.<\/p>\r\n\r\n<h2>14.
